The WP Open Community Collective Conflict of Interest Policy

本ポリシーの目的

The WP Open Community Collective (“The WPOCC”) is committed to maintaining high ethical standards, transparency, and integrity in all its operations. This Conflict of Interest Policy (“Policy”) is designed to ensure that all decisions made on behalf of The WPOCC are free from actual or perceived conflicts of interest and to protect the integrity of the organization’s mission.

The WPOCC is dedicated to fostering a culture of openness, fairness, and trust. Adherence to this Policy is essential to maintaining the integrity and credibility of our work and our shared commitment to the WordPress open source project.

本ポリシーの適用範囲

This Policy applies to all individuals who participate as decision-makers within The WPOCC community, including but not limited to board members, staff, contractors, contributors, members, and volunteers (“Covered Individuals”).

利益相反の定義

A conflict of interest exists when a Covered Individual’s personal, professional, financial, or other interests could interfere with their ability to make impartial decisions in the best interest of The WPOCC and its members. Conflicts of interest may arise directly or indirectly and include, but are not limited to:

  1. Financial Interests: A financial benefit received by the individual or their immediate family from a decision or transaction involving The WPOCC.

  3. Competing Loyalties: Activities, roles, or commitments outside The WPOCC that may conflict with the organization’s mission or activities.
  4. Self-Dealing: Using one’s role within The WPOCC to benefit oneself, a relative, or a business associate.

利益相反の開示

すべての被保険者は、以下の事項に同意する必要があります：

  1. Disclosure: Disclose any actual, perceived, or potential conflicts of interest to hTe WPOCC Board of Directors prior to engaging in the activity where there may be a conflict.
  2. 利益相反：利益相反が確認された者は、当該利益相反に関連する議論、決定、または組織活動から身を引かなければならない。

利益相反の管理

Upon disclosure of a potential conflict of Interest, The WPOCC will take the following steps:

  1. 評価：理事会または指定された委員会は、開示された潜在的な利益相反を評価し、それが実際の利益相反であるか、あるいは利益相反と見なされるものであるかを判断する。
  2. 決議： 決定がなされた場合、理事会または指定された委員会は、以下の措置を講じるものとする：
    • 実際の利益相反：実際の利益相反が確認された場合、理事会または指定された委員会は、当該個人およびコミュニティにその旨を通知し、当該個人に対し、当該利益相反に関連する議論、決定、または組織活動への参加を控えるよう求める。場合によっては、理事会は、権限の委譲や役割の見直しなど、利益相反を解決するために追加の措置が必要であると判断することがある。
    • 利益相反の疑い：利益相反の疑いが認められた場合、理事会または指定された委員会は、当該個人およびコミュニティに通知するとともに、その状況を組織の記録として残すものとする。当該個人は、状況が綿密に監視されることを条件として、その役割を継続することが認められる場合があり、必要に応じて、透明性と公平性を確保するための追加措置が講じられることがある。
    • 利益相反がない場合：利益相反が認められない場合、理事会または指定された委員会は当該個人にその旨を通知し、その判断内容を組織の記録に明記する。
  3. 記録：発生しうるすべての利益相反、その判断、およびそれに基づいて講じられた措置は、組織の記録に明記される。

禁止事項

対象者は、以下の行為をしてはなりません：

  1. Use The WPOCC Resources: Use The WPOCC’s funds, resources, or reputation for direct personal gain.
  2. 非公開の関係性への関与：利益相反を引き起こす可能性のある、非公開の関係性を持つ組織、個人、または団体に関する意思決定に参加すること。

説明責任と執行

Any Covered Individual found to have knowingly violated this Policy may be subject to corrective action, up to and including removal from their role or termination of their relationship with The WPOCC. All enforcement actions will be documented.

懸念事項の報告

Members of The WPOCC community may report suspected conflicts of interest or violations of this Policy to The WPOCC Board. Reports may be submitted via the Code of Conduct reporting form.

政策の見直し

This Policy will be reviewed and updated as necessary by The WPOCC Board to ensure it remains effective and aligned with the organization’s mission and values. Modifications and updates will be documented.
